Terms of Service

The agreement between you and ElyAgents covering use of our website, SaaS products, AI agents, and managed hosting.

1. Acceptance

By signing up, signing an order form, or clicking "I agree", you accept these Terms on behalf of yourself and any organisation you represent. If you do not agree, do not use the service. The ElyAgents platform is operated by ElySpace ("ElyAgents", "we", "us"); the customer is referred to as "you".

2. The service

ElyAgents is a suite of business software covering: ElySpace PMS (pharmacy), School ERP, ElyHMS (hospital), Travel CRM, ElyIPTV Billing, ElyWA (WhatsApp automation), and ElySpace Hosting. We also offer custom development, AI agent deployments, and one-time migration help.

We update each product continuously. We may add, remove, or change features. If we retire a feature you depend on, we will give you at least 90 days' notice and a documented migration path.

3. Your account

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for everything that happens under your account, including the actions of users you invite.
  • Keep your password and two-factor secrets confidential. Notify us immediately at contact@elyagents.com if you suspect unauthorised access.
  • You must be at least 18 years old to open an account.

4. Acceptable use

You agree not to:

  • Use ElyAgents for anything illegal, fraudulent, or that infringes the rights of others.
  • Probe, scan, or test the vulnerability of the service without written permission.
  • Send unsolicited bulk messages through ElyWA or any of our products.
  • Resell, white-label, or sublicense ElyAgents without a written partner agreement.
  • Reverse-engineer, copy, or attempt to extract source code or model weights.
  • Use the service to train competing products or services.

5. Subscription, billing & refunds

Subscriptions auto-renew at the end of each billing cycle until cancelled. Fees are charged in advance and are non-refundable except where required by law or where we cancel a paid period for our own convenience. Taxes (including GST) are charged at the rate applicable on the invoice date.

If a payment fails, we will email you and retry over the next seven days. If it remains unpaid, we may suspend access. After 60 days of suspension, we may delete the account and its data.

You may cancel at any time from your account; cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for partial periods.

6. Customer data

You own the data you put into ElyAgents and you keep all rights to it. You grant us a limited licence to host, process, transmit, and back up that data solely to operate the service for you. We do not use customer data to train AI models or to advertise. How we handle personal data is described in the Privacy Policy.

You are responsible for the legality of the data you upload and for getting any consents required from the people whose data you process. Some products are designed for regulated data (e.g. ElyHMS for patient records), using them in compliance with local law is your responsibility.

7. Intellectual property

ElyAgents, the ElySpace brand, the product names listed above, and the underlying software are owned by ElySpace and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. All rights not expressly granted are reserved.

If you send us suggestions, bug reports, or feedback, you grant us a perpetual, royalty-free right to use them without obligation to you.

8. Availability & support

We target 99.9% monthly uptime for paid plans, excluding planned maintenance and circumstances outside our reasonable control. Planned maintenance is announced at least 48 hours in advance. Standard support is provided by email at contact@elyagents.com during business hours (IST). Custom SLAs are available for enterprise and managed-hosting plans.

9. Suspension & termination

We may suspend or terminate access if you breach these Terms, if your account threatens the security or integrity of the service, if your payment is overdue, or if we are required to do so by law. We will give you notice and a reasonable chance to fix the issue unless doing so would create further risk.

On termination, you may export your data for up to 30 days. After that period, your customer data is deleted as described in the Privacy Policy.

10. Warranties & disclaimers

The service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or that defects will be corrected. To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the service is capped at the fees you paid us in the 12 months immediately before the event that gave rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, or lost data. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to defend and hold us harmless from any claim arising out of your breach of these Terms, your customer data, or your use of the service in violation of law.

13. Governing law & disputes

These Terms are governed by the laws of India. The courts of Baramulla, Jammu and Kashmir have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any competent court to protect our intellectual property or security.

14. Changes to the terms

We may update these Terms from time to time. Material changes will be notified to account owners by email at least 14 days before they take effect. Continuing to use the service after the effective date means you accept the updated Terms.
